Terms and Conditions

  1. Introduction:

    This Master Services Agreement ("Agreement") is entered into by and between CRCL, LLC. ("CRCL") and any and all parties using the software ("Customer"). Collectively referred to as the "Parties."

  2. Definitions:

    • Services: CRCL agrees to provide SaaS services to Customer, which includes but is not limited to, the collection and processing of data related to email addresses, order data, product data, Shopify API access, access tokens, and general store data.
    • Upsell: An "Upsell" is defined as the promotion or display of a product within the CRCL app during a shopping session, and if the consumer adds it to their cart at any point during the session, it will be counted as an upsell.

  3. Services:

    CRCL will provide the Services to Customer in accordance with the terms and conditions outlined in this Agreement.

  4. Data Collection and Use:

    • CRCL may collect, store, and process Data as necessary to provide the Services. Customer grants CRCL the right to use Data solely for the purpose of providing and improving the Services.
    • CRCL will not share, sell, or publicly post any Data provided by Customer, except as required by law or with Customer's express written consent.

  5. Fees and Payment:

    • Customer agrees to pay CRCL the fees as specified in the pricing plan or as otherwise agreed upon in writing.
    • Current Pricing Plan (subject to change with notice): 2% of the value of all upsold products with 50% of revenue collected by CRCL going to plastic offsetting, and 50% as a company fee.
    • Invoices will be generated and sent every Monday and expected to be paid within 5 business days or we reserve the right to suspend your account.

  6. Term and Termination:

    The initial term of this Agreement shall commence upon installation of CRCL. Either Party may terminate this Agreement in accordance with the termination provisions specified in the payment plan.

  7. Confidentiality:

    Both Parties agree to keep confidential all non-public information received from the other Party, except as required by law.

  8. Governing Law and Jurisdiction:

    • This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
    • Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

  9. Miscellaneous:

    This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings.

  10. Acceptance:

    By installing CRCL, you acknowledge that you have read, understood, and agreed to the terms and conditions of this Master Services Agreement, including the provision that products added to the cart during a shopping session will be counted as upsells.
